1. Who we are

These services are operated by Pasan SA, Rue Jaquet-Droz 8, 2000 Neuchâtel, Switzerland (part of the Avalon ST group). Commercial register CHE-107.962.395 · VAT CHE-107.962.395 TVA. Contact: info@pasan.ch.

“We”, “us” and “our” refer to Pasan SA. “You” refers to the person or organisation using the services. Where you act for an organisation, you confirm you are authorised to bind it to these Terms.

2. Accounts and eligibility

Our client accounts and tools are intended for business and professional use, not consumers. You must be at least 18 and provide accurate registration details (email, company, and where requested phone, country and role) and keep them up to date.

Sign-in is passwordless: we email a one-time code and a single-use magic link. You are responsible for keeping access to your email secure and for all activity under your account. Tell us promptly at info@pasan.ch if you suspect unauthorised use.

One account works across pasan.ch and rent-a-lab.solar. We may suspend or close accounts that breach these Terms or are used unlawfully.

3. Acceptable use

You agree not to:

• use the services unlawfully, or to infringe anyone's rights;
• upload malware, attempt to breach security, probe, scrape or overload the services, or bypass the bot-protection or rate limits;
• misrepresent your identity or submit data you are not entitled to share;
• resell or commercially exploit the tools or their output except as expressly permitted.

4. Online tools and measurement reports

We provide tools such as the booking platform and the measurement-uncertainty calculator, and we may produce measurement reports for you. These are provided for professional decision-support.

Tool outputs, calculations and reports are provided in good faith and on an “as is” basis. They depend on the inputs and assumptions you supply and do not constitute a warranty, certification or legal/financial advice. You remain responsible for verifying results before relying on them. Where a report is issued under an accredited scope or a separate written agreement, that agreement governs the report.

5. Your content and our licence to use data

“Your Content” means data, files, measurements and information you submit to or create with the services (for example measurement files, I-V curves, EL images, uncertainty budgets, project details). As between you and us, you keep the rights you hold in Your Content.

You grant Pasan SA a worldwide, perpetual, irrevocable, royalty-free, sub-licensable and transferable licence to host, store, reproduce, adapt, process and create derivative works from Your Content in order to operate, maintain and improve the services and our products, to perform our contracts with you, and to develop new products, benchmarks and research.

You agree that we may create anonymised and/or aggregated data from Your Content (data that no longer identifies you or any individual). All such anonymised and aggregated data, and any insights, models, statistics and derivative works we create from it, are owned by Pasan SA and may be used for any lawful purpose, including after your account closes.

You confirm you have the rights and any necessary permissions to submit Your Content and to grant the licence above, and that Your Content does not breach any third-party rights or confidentiality obligation. Personal data within Your Content is also handled under our Privacy Policy; nothing here overrides the data-protection rights individuals have by law.

6. Our intellectual property

The services, software, design, text, logos and the “Pasan”, “HighLIGHT” and “rent-a-lab” marks are owned by Pasan SA or its group and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the services for your internal business purposes while you comply with these Terms. No other rights are granted.

7. Rentals (rent-a-lab.solar)

Bookings made through rent-a-lab.solar are requests until we confirm them in writing. Equipment rental is also subject to our separate rental terms and the specific quotation/contract for each campaign, which cover pricing, deposits, insurance, transport, permitted use, condition, liability for loss or damage, and cancellation. Where those terms conflict with these website Terms, the rental contract prevails for the rental.

8. Disclaimers

To the maximum extent permitted by law, the websites and online tools are provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy or uninterrupted availability. This does not exclude liability that cannot be excluded under Swiss law.

9. Limitation of liability

To the extent permitted by law, Pasan SA is not liable for indirect or consequential loss, loss of profit, data or business arising from your use of the websites or free online tools, and our total aggregate liability for the free websites and online tools is limited to CHF 100. Liability for rentals and paid services is governed by the relevant contract. Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.

10. Changes to the services and these Terms

We may update the services and these Terms. When we make material changes we will update the “last updated” date and, where appropriate, ask you to accept the new version the next time you sign in or use the tools. Continued use after changes take effect means you accept them.

11. Governing law and jurisdiction

These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Neuchâtel, Switzerland, subject to any mandatory jurisdiction that applies to you.
